1. Agreement

These Terms of Service (“Terms”) govern access to and use of ThoughtProof websites, APIs, dashboards, SDKs, CLI tools, MCP servers, documentation, and related services (the “Service”) provided by ThoughtProof LLC (“ThoughtProof”, “we”, “us”).

By creating an account, obtaining an API key, calling the Service, or integrating ThoughtProof into an agent platform (including Meta Muse connectors or custom integrations), you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. What ThoughtProof is

ThoughtProof provides decision verification tooling intended to help systems evaluate proposed actions against mandates and evidence before irreversible steps. Outputs may include verdicts, objections, receipts, and an execute recommendation flag.

ThoughtProof is not a bank, broker, wallet custodian, law firm, medical provider, or regulated advice service. Verification results are not legal, financial, medical, or investment advice.

3. Accounts and API keys

  • You are responsible for safeguarding API keys and account credentials.
  • You must not share keys publicly or embed them in client-side code exposed to end users.
  • You are responsible for all activity under your keys, including calls made by agents or third-party platforms you authorize (e.g. Muse credential store).
  • We may revoke keys for abuse, non-payment, or security risk.

4. Acceptable use

You agree not to:

  • Use the Service to violate law or third-party rights
  • Attempt to bypass rate limits, payment, or authentication
  • Probe, overload, or disrupt infrastructure except via authorized security research disclosed to us
  • Submit malware or content intended solely to compromise systems
  • Misrepresent ThoughtProof outputs as a guarantee of safety, compliance, or correctness
  • Use the Service to facilitate fraud, sanctions evasion, or unauthorized access to accounts/funds

5. Agent hosts and fail-closed design

Many ThoughtProof interfaces return an execute flag that is true only on ALLOW. Hosts (including agent platforms) must honor fail-closed behavior: if the Service returns non-ALLOW, errors, timeouts, or missing credentials, the host should not treat the action as verified.

ThoughtProof does not control third-party agents. If a host ignores execute=false, that is outside our control and not a warranty failure of the verification response itself.

6. Open-source components

Separate open-source packages (CLI, SDKs, MCP) are licensed under their respective licenses (e.g. MIT). These Terms govern hosted APIs and commercial product features unless a signed order form states otherwise.

7. Fees and payment

Paid plans, usage metering, Stripe checkout, and crypto/x402 rails (where offered) are billed as described at purchase time or in your plan. Fees are non-refundable except where required by law or expressly stated. We may change pricing with notice for subsequent billing periods.

8. Intellectual property

We retain rights in the Service, brands (including ThoughtProof™), documentation, and underlying technology. You retain rights in content you submit. You grant us a limited license to process submitted content solely to provide and secure the Service and as described in the Privacy Policy.

9. Confidentiality

API keys and non-public product features are confidential. Reciprocal NDA terms in a signed agreement control if present.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT VERIFICATION OUTPUTS WILL BE ERROR-FREE, COMPLETE, OR SUFFICIENT FOR YOUR COMPLIANCE OBLIGATIONS.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THOUGHTPROOF AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR COST OF SUBSTITUTE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM (OR USD $100 IF GREATER AND NO FEES WERE PAID).

12. Indemnity

You will indemnify and hold harmless ThoughtProof LLC and its operators from claims arising out of your content, your agents’ actions, your misuse of the Service, or your violation of these Terms or law.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or discontinuation of a product line. Sections that by nature should survive (IP, disclaimers, liability, indemnity) survive termination.

14. Changes

We may update these Terms. Continued use after the effective date constitutes acceptance of the updated Terms, except where mandatory law requires explicit consent.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Courts in Wyoming have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction. EU consumer mandatory rights remain unaffected where applicable.
